Welcome to The Spark Company. The Spark Company is a trading name of Look Good Do Good Ltd, a company registered in England and Wales under company number 11574498, with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom.

In these Terms of Service, the terms “The Spark Company”, “we”, “us” and “our” refer to Look Good Do Good Ltd. We operate this store and website, including all related information, content, features, tools, products and services, to provide you with a curated shopping experience collectively referred to as the “Services”.

Our store is hosted and powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services. 
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT
You must be at least 18 years old, or otherwise legally capable of entering into a binding contract under the laws that apply to you, to place an order through the Services. If you are under 18, you may use the Services only with the involvement and permission of a parent or legal guardian.
To use the Services, including accessing or browsing our online stores or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all the information you provide in our stores is correct, current and complete and that you have all rights necessary to provide this information.
You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person.

SECTION 2 - OUR PRODUCTS
We have made every effort to provide an accurate representation of our products and services in our online stores. However, please note that colours or product appearance may differ from how they may appear on your screen due to the type of device you use to access the store and your device settings and configuration.

We make reasonable efforts to display our products, colours, images, descriptions and other details accurately. However, colours and appearance may vary slightly depending on your device, screen settings, lighting and the nature of the product.Any such minor visual variation does not affect your legal rights where a product is faulty, damaged, not as described or otherwise does not conform to the contract.

We may update product descriptions, availability and other information from time to time. We may also discontinue a product or limit the quantity available to a particular customer, location or jurisdiction where reasonably necessary.

Any changes will not affect an order that we have already accepted, unless the change is required by law or agreed with you.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase products from Look Good Do Good Ltd, trading as The Spark Company.
After you place an order, we may send an email acknowledging that we have received it. This acknowledgement does not necessarily mean that your order has been accepted.
Your order is accepted, and a contract is formed between you and us, when we send you confirmation that the order has been accepted or dispatched, depending on the wording used in our order communications.
We may decline or cancel an order where reasonably necessary, including where:

a product is unavailable;
we cannot authorise or verify payment;
we identify an error in the price or product description;
we reasonably suspect fraud, misuse or unauthorised resale;
delivery restrictions apply; or
we are unable to fulfil the order for another legitimate reason.

If we decline or cancel an order after receiving payment, we will refund the amount paid using the original payment method. We will attempt to notify you using the contact details provided with your order.
Returns, cancellations, refunds and exchanges are handled in accordance with our Refund Policy and any mandatory rights available to you under applicable consumer law.
Nothing in these Terms or our Refund Policy limits your legal rights where products are faulty, damaged, not as described or otherwise do not conform to the contract.

Unless we have expressly agreed otherwise, products purchased through the Services are intended for personal or household use and not for commercial resale or unauthorised export.

SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions may change from time to time. The price payable will be the price shown at checkout when you place your order, subject to the correction of any clear and obvious pricing error.
Prices shown on the Store include VAT where applicable. Delivery charges and any taxes collected by us will be shown before you complete your order.
International orders may be subject to local customs duties, import taxes, handling charges or other fees unless we expressly state that these charges are included or collected at checkout. You are responsible for charges imposed by the destination country that have not been collected by us.
Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties. We may offer, from time to time, promotions on the Services that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.
You agree to provide current, complete and accurate purchase, payment, delivery and account information. You must promptly update your information where necessary so that we can process your order and contact you.
You confirm that you are authorised to use the payment method provided. Payment processing may be carried out by Shopify, Klarna or another third-party payment provider under that provider’s applicable terms and privacy notice.
You agree to pay the product price and any delivery charges, taxes or other charges clearly shown to you before you complete the order.

SECTION 5 - SHIPPING AND DELIVERY
We will deliver your order to the delivery address provided at checkout.
Any delivery dates or timeframes shown are estimates unless we expressly agree to a guaranteed delivery date. We are not responsible for delays caused by events outside our reasonable control, including customs delays, carrier disruption, severe weather, industrial action or other circumstances we could not reasonably prevent.
Where a delay occurs, we will take reasonable steps to minimise its effect and will provide any remedies required under applicable consumer law.
For consumer orders, risk in the products passes to you when the products are delivered into your physical possession or into the physical possession of a person identified by you to receive them, except where applicable law provides otherwise.
If you independently arrange for delivery by a carrier that we did not offer as a delivery option, risk may pass when the products are delivered to that carrier.
Ownership of the products passes to you once we have received payment in full and the products have been delivered, unless applicable law provides otherwise.

SECTION 6 - INTELLECTUAL PROPERTY
The Services and their content, including trademarks, brand names, text, artwork, illustrations, graphics, images, photographs, product designs, reviews, video, audio, website design and arrangement, are owned by or licensed to Look Good Do Good Ltd and are protected by UK and international copyright, trademark and other intellectual-property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent.

Except where expressly permitted by these Terms, nothing grants you any licence or other rights in intellectual property belonging to Look Good Do Good Ltd, Shopify or any third party.
Unauthorised use of the Services or their content may infringe applicable intellectual-property laws. All rights not expressly granted are reserved.

The Spark Company name, logos, product names, designs and slogans are trademarks or other intellectual property owned by or licensed to Look Good Do Good Ltd. They must not be used without our prior written permission.
Shopify’s name, logos and trademarks belong to Shopify. Other names, logos and trademarks displayed through the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS
We may provide you with access to optional tools offered by third parties. We do not monitor or control these tools and do not have control over how the third-party provider operates them.
Your use of any optional third-party tools is voluntary and at your own discretion. Before using a tool, you should review and agree to the terms and privacy policies provided by the relevant third party.
Third-party tools are provided subject to the terms and privacy practices of the relevant provider. We are not responsible for that provider’s independent acts, omissions, content or services.
We may introduce new services, features or tools through the Store in the future. Any new features or services will also be subject to these Terms.
Nothing in this section excludes or limits any liability that cannot lawfully be excluded, or any responsibility we may have for selecting, recommending or integrating a third-party service without reasonable care.

SECTION 8 - THIRD-PARTY LINKS
The Services may contain materials and hyperlinks to websites provided or operated by third parties (including any embedded third party functionality). We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you decide to leave the Services to access these materials or third party sites, you do so at your own risk.
We do not control third-party websites and are not responsible for their independent content, security, privacy practices, products or services.
You should review the third party’s terms and privacy policy before entering into a transaction with it. Nothing in this section excludes responsibility that cannot lawfully be excluded.
Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third-party. 

SECTION 9 - RELATIONSHIP WITH SHOPIFY
The Services are hosted and powered by Shopify, which provides the ecommerce technology that enables us to operate the Store.
Any contract for the purchase of products through the Store is made directly between you and Look Good Do Good Ltd, trading as The Spark Company, unless we clearly state otherwise.

Shopify is not the seller of our products and is not responsible for the fulfilment, quality, safety or legality of products sold by us. However, nothing in these Terms excludes any responsibility Shopify may have directly to you under applicable law or under separate terms between you and Shopify.

SECTION 10 - PRIVACY POLICY
We process personal information in accordance with our Privacy Policy.
Because the Services are hosted by Shopify, Shopify also collects and processes certain personal information concerning your access to and use of the Services. Some information may be processed in countries outside the country in which you live.
Please review our Privacy Policy and Shopify’s Consumer Privacy Policy for further information about how personal information is used, shared and protected and how you can exercise your privacy rights.

SECTION 11 - FEEDBACK
If you voluntarily submit, upload, post or otherwise provide us with ideas, suggestions, proposals, reviews, photographs, comments, competition entries or other content, collectively referred to as “Feedback”, you confirm that you have the right to provide that Feedback and that it does not infringe the rights of any other person.

You grant Look Good Do Good Ltd a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to use, reproduce, adapt, edit, publish, translate, display and distribute your Feedback for the purposes of operating, promoting and improving The Spark Company, our products and the Services.

This may include using Feedback on our website, social-media channels, advertising, marketing materials and other promotional content. Where reasonably practical, we may identify you using your first name, social-media username or other information you have chosen to make public.
This licence continues for as long as reasonably necessary for these purposes, subject to applicable law and our Privacy Policy. You continue to own any intellectual-property rights you hold in your Feedback.
You agree that your Feedback will not:

contain unlawful, threatening, abusive, defamatory, obscene, discriminatory or otherwise harmful material;
infringe another person’s copyright, trademark, privacy, publicity or other legal rights;
contain malicious software, viruses or other harmful code;
include another person’s personal information without their permission;
falsely represent your identity, experience or relationship with us;
mislead others about the origin of the Feedback; or
breach any applicable law.

You must not submit Feedback using a false identity, impersonate another person or misrepresent the origin of your Feedback.
We may review, moderate, edit, refuse to publish or remove Feedback where we reasonably believe that it breaches these Terms, applicable law or our content standards. We are not required to publish or retain any Feedback.
We are not responsible for opinions, statements or content submitted by other users, except where applicable law requires otherwise.
Nothing in this section transfers ownership of your Feedback to us or limits any rights you have under applicable consumer, intellectual-property or data-protection law.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS
We may correct typographical errors, inaccuracies or omissions relating to product descriptions, prices, promotions, delivery charges, transit times or availability.
If we identify an error after you place an order but before the order is accepted, we may contact you to ask whether you wish to proceed using the correct information.
If an order has already been accepted, we will not make a material change or cancel it because of our error unless permitted by law, agreed with you, or the error was clear and obvious and you could reasonably have recognised it as a mistake.
If we cancel an order after payment has been taken, we will provide a refund.

SECTION 13 - PROHIBITED USES
You may use the Services only for lawful purposes and in accordance with these Terms.

You must not use the Services, directly or indirectly:

  1. for any unlawful, fraudulent, deceptive or malicious purpose;
  2. in breach of any applicable national, regional or local law, regulation or legal requirement;
  3. to infringe or violate our intellectual-property rights or the intellectual-property, privacy, publicity or other legal rights of another person;
  4. to harass, abuse, threaten, intimidate, defame, discriminate against or otherwise harm another person;
  5. to submit false, inaccurate, fraudulent or misleading information;
  6. to upload, publish, transmit or otherwise make available content that does not comply with these Terms;
  7. to distribute spam, junk mail, chain letters, unsolicited promotions or other unauthorised advertising;
  8. to impersonate another person or organisation, misrepresent your identity or falsely suggest an affiliation with us or another party;
  9. to collect, track or use another person’s personal information without a lawful basis or their permission where required;
  10. to upload or transmit viruses, malware, malicious code or any other material that may damage, disrupt or interfere with the operation, security or availability of the Services, Shopify, another website, another user’s device or any connected system;
  11. to interfere with, bypass, disable or attempt to defeat any security feature, access restriction, authentication process or technical measure used in connection with the Services;
  12. to gain or attempt to gain unauthorised access to any part of the Services, another user’s account, our systems or any connected network;
  13. to scrape, crawl, copy, extract, harvest or systematically collect content or data from the Services using automated means, except where expressly permitted by us in writing or required by applicable law;
  14. to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code or underlying structure of the Services, except where applicable law expressly permits this;
  15. to use the Services or their content to develop, train, improve or operate an artificial-intelligence system, machine-learning model or other automated service without our prior written permission;
  16. to circumvent purchase limits, promotional restrictions, account restrictions or other controls applied to the Services;
  17. to place fraudulent orders, misuse discount codes, make unauthorised chargebacks or engage in conduct intended to obtain products, refunds, credits or benefits to which you are not entitled;
  18. to resell, reproduce, copy or commercially exploit any part of the Services without our prior written permission; or
  19. to engage in conduct that materially interferes with another person’s use of the Services or that may damage, disrupt or create a legal, security or operational risk for us, Shopify, our service providers or other users.

We may suspend, restrict or terminate your access to the Services where we reasonably believe that you have materially breached these Terms, misused the Services or created a legal, security or operational risk.
Where reasonably possible, we will provide notice and an opportunity to address the issue. We may take immediate action without prior notice where this is reasonably necessary to protect the Services, our business, another person, our legal rights or the security of our systems.
Nothing in this section limits any rights or remedies available to us under applicable law, or any rights available to you under applicable consumer law.

SECTION 14 - AGENTS 
You must not use bots, automated agents, scraping tools or similar technologies to access or interact with the Services in a way that:

breaches these Terms or applicable law;
circumvents security measures or access restrictions;
places an unreasonable burden on the Services;
extracts or reproduces our content or data without permission; or
infringes our intellectual-property, privacy or other legal rights.

This section does not prohibit the use of accessibility tools, ordinary search engines or shopping services that we or Shopify have authorised or enabled.
We may restrict automated access where reasonably necessary to protect the Services, our content, our customers or our systems.

SECTION 15 - TERMINATION
We may suspend or terminate your access to the Services where we reasonably believe that you have materially breached these Terms, used the Services unlawfully, created a security risk or failed to pay an amount properly due.
Termination of your access does not affect rights or obligations that arose before termination, including your obligation to pay for an accepted order and our obligation to fulfil or refund that order as required.
Nothing in this section affects your statutory consumer rights.
The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

SECTION 16 - DISCLAIMER OF WARRANTIES 
Information made available through the Services is provided for general information purposes. We take reasonable care to keep information accurate and current but do not guarantee that all general website content will always be complete, accurate or available.
The Services may occasionally be interrupted or contain technical errors. We do not guarantee that access will always be uninterrupted, secure or error-free.
Nothing in these Terms excludes or limits:

your rights under applicable consumer law;
our obligation to provide products that are as described, of satisfactory quality and fit for any purpose made known to us where the law requires this;
any express warranty or guarantee provided by us; or
any liability or obligation that cannot lawfully be excluded.

Any disclaimer in these Terms applies only to the maximum extent permitted by applicable law.

SECTION 17 - LIMITATION OF LIABILITY 
Nothing in these Terms excludes or limits our liability where doing so would be unlawful, including liability for:

death or personal injury caused by our negligence;
fraud or fraudulent misrepresentation;
breach of your statutory consumer rights; or
any other liability that cannot legally be excluded or limited.

If we fail to comply with these Terms, we are responsible for loss or damage that is a foreseeable result of our breach or our failure to use reasonable care and skill.
Loss or damage is foreseeable where it was an obvious consequence of the breach or where both you and we knew, when the contract was formed, that it might occur.
We are not responsible for loss or damage that was not foreseeable or for loss caused by inaccurate information supplied by you, misuse of a product, or an event outside our reasonable control, except where applicable law provides otherwise.
We supply products primarily for personal and domestic use. Unless we have expressly agreed to supply you as a business customer, we are not responsible for business losses, including loss of profit, revenue, business opportunity, anticipated savings or business interruption.
These limitations apply only to the maximum extent permitted by applicable law.

SECTION 18 - INDEMNIFICATION 
You are responsible for losses that we reasonably and directly incur as a result of:

your deliberate unlawful use of the Services;
your deliberate infringement of another person’s rights; or
your material breach of these Terms.

You will not be responsible for losses that were not caused by you, that were not reasonably foreseeable or that resulted from our own acts or omissions.
Nothing in this section limits any rights or protections available to you under applicable consumer law.

SECTION 19 - SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary to make it enforceable.
If modification is not possible, the relevant provision will be removed. The remaining provisions will continue in effect.

SECTION 20 - KLARNA
In cooperation with Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden, we may offer Klarna payment options at checkout. Available options, eligibility, payment schedules, terms and conditions are provided by Klarna and may vary depending on your order and circumstances. SECTION 21 - WAIVER; ENTIRE AGREEMENT
If we do not immediately exercise or enforce a right under these Terms, this does not mean that we have waived that right.
These Terms, together with the policies expressly incorporated into them, form the agreement between you and us concerning your use of the Services and any order you place.
They replace previous versions of these Terms but do not exclude any representations, rights or remedies that cannot lawfully be excluded.

SECTION 22 - ASSIGNMENT
You may not transfer your rights or obligations under these Terms to another person without our prior written consent, although we will not unreasonably withhold consent where the transfer does not adversely affect us.
We may transfer our rights and obligations under these Terms to another organisation, for example as part of a sale, restructuring or transfer of our business. We will notify you where such a transfer materially affects your rights. A transfer will not reduce the protections available to you under these Terms or applicable law.

SECTION 23 – GOVERNING LAW
These Terms and any contract between you and us are governed by the laws of England and Wales.
The courts of England and Wales will have non-exclusive jurisdiction over disputes arising from these Terms, the Services or a contract between you and us.
If you are a consumer living outside England and Wales, you may also be entitled to bring proceedings in the courts of the country or territory in which you live.
Nothing in these Terms deprives you of mandatory consumer rights or protections available under applicable law in your country of residence.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. We will notify you of any material changes to these Terms in accordance with applicable law, and such changes will be effective on the date specified in the notice. Changes will apply from the effective date stated in the updated Terms.
Changes will not normally apply retrospectively to orders that we accepted before that date, unless the change is required by law or agreed with you.
Where required by applicable law, we will provide reasonable notice of material changes.
